private sale of shares in listed company

Hi all,

I am selling off a portion of my stock in a Canadian based but US listed, company. For 
various reasons which I am happy to explain I wish to do it as a private transaction 
and 
because of restrictions on the shares they are not available to Americans (citizens or 
residents) before 2004. The shares closed at $1.80 (USD) on Sept. 26/03 and the range 
has 
been a 52 week low of $1 and high of $2.35 (June 10/03). This is a 4 year old company 
with actual products and multinational sales contracts. To keep overhead low I would 
like 
to sell in lots with a minimum size of 500 shares and because of the restrictions I am 
willing to discount the price modestly. This is a completely legitimate offer and if
